IS JEFFREY UBBEN TONGUE-TIED?   


If you were personally invited to a meeting with the Acxiom board of directors courtesy of company leader Charles Morgan, would you at least R.S.V.P.? Of course you would, but not if your name is Jeffrey Ubben. Why is Ubben, who is leading the ValueAct hostile takeover attempt of Acxiom by requesting seats on Acxiom's board, ignoring Morgan’s invitations?

Acxiom’s freshest SEC filing discloses that on “May 15, 2006, Charles Morgan, in writing, invited Mr. Ubben to attend an upcoming meeting of the Acxiom board. Mr. Ubben declined the invitation. After the declination, Mr. Morgan again extended the invitation to Mr. Ubben. Mr. Ubben did not respond.”

Ubben, who is based in San Francisco, has never responded to our requests for meetings either, so we know how Mr. Morgan feels. Upon reviewing Acxiom’s most recent earnings conference call, we find that Morgan addressed the issue of Mr. Ubben in great detail.

Morgan sent an e-mail to Ubben offering him the opportunity to be on the agenda to present at the next board meeting, which was scheduled for May 31, 2006.

“I thought it would afford him an opportunity to meet and gain a better mutual understanding with the entire board,” said Morgan. “I also offered to personally review our fourth-quarter and fiscal year-end results with Mr. Ubben, and offer him a chance to give me any additional relevant feedback that he might have.”

Ubben replied by e-mail refusing both offers.

Morgan added that in a later, unanswered e-mail he asked Ubben: “How in the world, if you're looking out for the long-term interests of the shareholders of this enterprise, can you possibly think that not talking to the directors and not talking to the CEO is going to help that process?”

We agree. Maybe Acxiom’s financial improvement has Ubben a little tongue-tied.  At least, he can’t say that Acxiom didn’t ask for his opinion.
